These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Student," "you," or "your") and Holiday Lights University LLC ("Holiday Lights University," "HLU," "Company," "we," "our," or "us").

These Terms govern your access to and use of:

• downloadable resources
• templates
• videos
• community features (if offered)
• coaching or support services (if offered)
• any other products or services provided by Holiday Lights University.

By accessing our website, purchasing a training program, creating an account, or using any portion of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use our Services.

1. Definitions

For purposes of these Terms:

"Company" refers to Holiday Lights University LLC.

"Services" means all products and services provided by Holiday Lights University, including but not limited to educational training programs, videos, downloadable materials, templates, business resources, coaching sessions, customer support, websites, communities, and future offerings.

"Training" refers to any educational training program sold or provided by Holiday Lights University.

"Content" includes all videos, lessons, PDFs, worksheets, spreadsheets, templates, contracts, pricing calculators, images, graphics, documents, text, audio recordings, downloads, logos, branding, designs, software, business systems, workflows, checklists, marketing materials, and any other educational materials provided by Holiday Lights University.

"Account" means the Kajabi account or any other account used to access our Services.

"Student" means the individual who purchases or receives authorized access to our Services.

2. About Holiday Lights University

Holiday Lights University is an educational training company that provides online training, educational resources, and business systems designed to help individuals learn about professional holiday lighting installation businesses.

Our Services are educational in nature and are intended to share information, systems, and personal experiences.

Holiday Lights University does not provide legal, accounting, tax, engineering, electrical, insurance, or professional business consulting services unless explicitly stated otherwise.

3. Eligibility

To purchase or access our Services, you must:

• be at least eighteen (18) years of age; or
• have the permission and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

You represent that all information provided during registration is accurate, complete, and current.

We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Educational Purpose Only

Holiday Lights University exists solely to provide educational information.

Nothing contained within our Services should be interpreted as:

• legal advice;
• accounting advice;
• tax advice;
• financial advice;
• engineering advice;
• electrical advice;
• safety certification;
• OSHA certification;
• licensing advice; or
• professional consulting.

You remain solely responsible for determining how, when, and whether to apply any information presented within our educational training.

5. No Guarantee of Results

Every student's background, experience, work ethic, financial resources, local market, competition, and business circumstances are different.

For this reason, Holiday Lights University makes no guarantee that you will:

• start a business;
• obtain customers;
• generate revenue;
• earn a profit;
• recover your investment;
• achieve any specific level of success;
• replicate the results shared by Holiday Lights University, its students, or its instructors.

Any revenue figures, business examples, student testimonials, installation numbers, or personal experiences shared throughout our Services are provided for educational and illustrative purposes only. They should not be interpreted as promises, guarantees, or typical outcomes.

Your success depends on numerous factors outside of our control, including your own effort, decision-making, execution, market conditions, pricing, customer service, location, and compliance with applicable laws.

6. Account Registration & Security

To access certain Services, you may be required to create an account through our learning platform, currently hosted by Kajabi, or another platform designated by Holiday Lights University.

You agree to:

• provide accurate, complete, and current registration information;
• maintain the security of your login credentials;
• promptly update your information if it changes; and
• notify us immediately if you believe your account has been accessed without authorization.

You are solely responsible for all activity that occurs under your account.

Holiday Lights University is not responsible for any loss or damage resulting from your failure to safeguard your account credentials.

7. Individual License & Account Sharing

When you purchase access to a Holiday Lights University training program, you are purchasing a limited, personal, non-exclusive, non-transferable, revocable license to access our educational content.

You are not purchasing ownership of the training or its contents.

Your purchase is intended for one individual only.

You may not:

• share your login credentials with another person;
• allow multiple individuals to access your account;
• permit employees, partners, family members, friends, or contractors to use your account unless they have purchased their own license;
• sell, transfer, sublicense, or assign your account to another individual.

Holiday Lights University reserves the right to monitor account activity to detect unauthorized account sharing.

If we reasonably believe that an account is being shared or accessed in violation of these Terms, we may suspend or permanently terminate access without refund.

8. Lifetime Access

Unless otherwise stated at the time of purchase, Holiday Lights University provides lifetime access to the purchased training program.

For purposes of these Terms, "lifetime access" means access for as long as:

• Holiday Lights University continues to operate the training program; and
• the applicable platform remains available.

Lifetime access does not guarantee that:

• every lesson will remain unchanged forever;
• every download will remain available indefinitely;
• every bonus resource will remain available;
• future products will automatically be included; or
• the training platform itself will never change.

We reserve the right to:

• update lessons;
• improve or replace content;
• reorganize modules;
• remove outdated materials;
• discontinue bonus resources;
• migrate the training to another platform;
• improve the learning experience over time.

These changes do not entitle a student to a refund.

9. Payments

All prices are displayed in U.S. Dollars unless otherwise stated.

Payments may be processed through third-party payment providers, including but not limited to:

• Kajabi Payments
• Stripe
• Apple Pay
• Google Pay
• Klarna
• Afterpay
• other payment processors we may support in the future.

Holiday Lights University does not collect or store your complete payment card information.

Payment information is processed securely by our third-party payment providers in accordance with their respective privacy policies.

You agree to pay all applicable fees, taxes, and charges associated with your purchase.

If a payment is declined, reversed, disputed, or otherwise fails, we reserve the right to suspend access until the balance has been resolved.

10. Refund Policy

Holiday Lights University offers a limited 24-hour refund policy designed to allow students to determine whether the training is a good fit while protecting the integrity of our digital educational content.

To qualify for a refund, both of the following conditions must be met:

1. Your refund request must be received within 24 hours of your original purchase; and
2. You must have completed less than twenty-five percent (25%) of the training at the time your request is received.

If either of these conditions is not met, your purchase becomes non-refundable.

Examples include, but are not limited to:

• requesting a refund more than 24 hours after purchase;
• completing 25% or more of the training before requesting a refund;
• downloading substantial educational resources before requesting a refund;
• attempting to obtain a refund after consuming a significant portion of the educational content.

Because Holiday Lights University provides immediate access to digital educational materials upon purchase, no refunds will be issued after the above eligibility requirements have expired except where required by applicable law.

We reserve the right to deny refund requests that we reasonably believe involve abuse, fraud, chargeback misuse, or attempts to obtain access to our educational content without payment.

11. Chargebacks & Payment Disputes

If you initiate a chargeback, payment dispute, or payment reversal through your bank or payment provider without first contacting Holiday Lights University to resolve the matter, we reserve the right to:

• immediately suspend or terminate your account;
• revoke access to all purchased training and downloadable resources;
• deny future purchases from you;
• provide relevant purchase records, login records, access history, refund policy acknowledgments, and communications to the payment processor as evidence in responding to the dispute.

Nothing in this section limits any other rights or remedies available to Holiday Lights University under applicable law.

12. Student Responsibilities

As a Student, you acknowledge and agree that you are solely responsible for how you use the information, techniques, templates, and educational materials provided by Holiday Lights University.

You are responsible for:

• complying with all applicable federal, state, provincial, and local laws;
• obtaining any licenses, permits, registrations, or certifications required to operate your business;
• maintaining any insurance you determine is appropriate for your business;
• complying with applicable electrical codes, building codes, and safety regulations;
• accurately representing your own business, products, and services to your customers;
• independently verifying all measurements, pricing, materials, and installation methods before performing work; and
• exercising sound judgment when applying any information provided in our educational training.

Holiday Lights University does not supervise, inspect, or approve your work and is not responsible for how you implement the information provided.

13. Safety & Assumption of Risk

Holiday lighting installation involves inherent risks, including but not limited to:

• working at heights;
• climbing ladders;
• accessing roofs;
• using electrical equipment;
• handling extension cords and lighting systems;
• adverse weather conditions;
• slips, trips, and falls;
• property damage;
• bodily injury; and
• other hazards associated with construction and exterior work.

By participating in our educational training, you acknowledge that:

• you voluntarily assume all risks associated with performing holiday lighting installation or related work;
• you are solely responsible for determining whether any installation can be completed safely;
• you should never perform work beyond your experience, qualifications, or physical ability;
• you should always inspect ladders, tools, and equipment before use;
• you should comply with all applicable safety regulations, manufacturer instructions, and local laws; and
• you are solely responsible for your own safety and the safety of anyone working with you.

Holiday Lights University does not certify that any installation method shown within the training is appropriate for every situation.

Every property, roof, weather condition, electrical system, and installation environment is different.

You agree that Holiday Lights University shall not be responsible for injuries, accidents, property damage, or losses arising from your use of any information presented in our educational training.

14. No Professional Advice

The information provided by Holiday Lights University is intended solely for educational purposes.

Nothing contained within our Services should be interpreted as:

• legal advice;
• tax advice;
• accounting advice;
• insurance advice;
• engineering advice;
• electrical advice;
• structural advice;
• financial advice;
• investment advice;
• licensing advice; or
• professional consulting services.

If you require advice relating to legal, financial, accounting, tax, engineering, insurance, or regulatory matters, you should consult an appropriately qualified professional.

15. Intellectual Property

All Services and Content provided by Holiday Lights University are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

Unless expressly stated otherwise, Holiday Lights University retains all right, title, and interest in and to its intellectual property.

This includes, but is not limited to:

• training videos;
• lesson recordings;
• downloadable PDFs;
• worksheets;
• spreadsheets;
• pricing calculators;
• installation systems;
• business systems;
• workflows;
• checklists;
• templates;
• contracts;
• proposals;
• business card designs;
• Canva templates;
• graphics;
• logos;
• branding;
• photographs;
• installation images;
• marketing materials;
• written content;
• audio recordings; and
• all future updates and improvements.

Your purchase does not transfer ownership of any intellectual property.

16. License to Use Training Materials

Subject to these Terms, Holiday Lights University grants you a limited, revocable, non-exclusive, non-transferable license to use the educational materials solely for operating your own business.

You may:

• use the information to operate your own holiday lighting business;
• customize contracts provided within the training for your own business;
• customize proposals and quote templates;
• edit Canva templates for your own company;
• print worksheets for your personal use;
• use downloadable marketing materials within your own business;
• modify pricing spreadsheets for your own internal operations.

This license is granted only to the original purchaser.

No ownership rights are transferred.

17. Prohibited Uses

Unless expressly authorized in writing by Holiday Lights University, you may not:

• copy, reproduce, or redistribute any portion of the training;
• upload videos or downloads to YouTube, Vimeo, social media, cloud storage, or file-sharing websites;
• sell, sublicense, rent, lease, or distribute any training materials;
• share templates with individuals who have not purchased the training;
• create another educational program using substantially similar materials;
• remove copyright notices or branding;
• publicly display lessons;
• record or rebroadcast live sessions;
• scrape or systematically download training content;
• use automated tools to extract content from the platform; or
• assist another individual in violating these Terms.

Any unauthorized use immediately terminates the license granted under these Terms.

18. Artificial Intelligence Restrictions

To protect the originality of Holiday Lights University's educational materials, you may not use our Content to:

• train or improve artificial intelligence or machine learning models;
• upload substantial portions of our training into AI systems for redistribution or commercial use;
• generate competing educational products using our proprietary materials;
• create AI-generated versions of our lessons, videos, templates, or downloads for sale or distribution;
• build databases, datasets, or knowledge bases derived primarily from Holiday Lights University Content.

Nothing in this section prohibits you from using general-purpose AI tools to assist your own business, provided you do not upload or disclose substantial portions of our proprietary educational materials in violation of these Terms.

19. Student Media & Installation Footage

As part of our educational training, Holiday Lights University may include photographs, videos, drone footage, screen recordings, or point-of-view ("POV") installation footage captured during real installation projects.

These materials are provided solely for educational purposes.

You may not:

• copy, download, extract, record, or redistribute any photographs or videos from the training;
• use our installation footage in your own educational products or commercial offerings;
• remove or alter any branding, watermarks, or identifying information contained within the media; or
• reproduce our media outside your personal access to the Services.

Some media may contain incidental views of homes, neighborhoods, landscaping, vehicles, or other surroundings captured during normal installation activities. Such footage is included solely to demonstrate installation techniques and business operations.

Students may not collect, reproduce, publish, or otherwise use any identifying information that may appear incidentally within these materials.

20. Student Use of Templates & Business Resources

Holiday Lights University provides certain downloadable resources—including contracts, proposals, invoices, checklists, pricing spreadsheets, business card templates, marketing materials, Canva templates, and other business documents—to assist Students in operating their own businesses.

Subject to these Terms, you may:

• modify these resources for use within your own business;
• add your own branding, pricing, and contact information;
• print and distribute customized versions to your own customers; and
• create derivative versions solely for your own internal business operations.

However, you may not:

• sell or license the original or modified templates;
• redistribute template files to third parties;
• include our templates in another educational product, membership, software platform, or template library;
• represent our templates as your own original work; or
• provide access to these materials to individuals who have not purchased an authorized license from Holiday Lights University.

For clarity, you own the customized versions you create for your business, but Holiday Lights University retains ownership of the original underlying templates and intellectual property.

21. Artificial Intelligence & Automated Systems

To protect the originality of Holiday Lights University's educational materials, Students may not use the Services or any Content to develop, train, improve, or create artificial intelligence systems, machine learning models, automated databases, or competing educational products.

Unless expressly authorized in writing by Holiday Lights University, you may not:

• upload substantial portions of our videos, documents, templates, or downloads into AI systems for redistribution or commercial purposes;
• use our Content to create AI-generated versions of the training;
• scrape or automatically collect Content using bots or automated software;
• generate competing educational materials primarily derived from our proprietary Content.

Nothing in this section prohibits Students from using general-purpose AI tools to assist with operating their own businesses, provided they do not disclose or reproduce substantial portions of Holiday Lights University's proprietary materials in violation of these Terms.

22. Copyright Enforcement

Holiday Lights University takes the protection of its intellectual property seriously.

Unauthorized reproduction, distribution, account sharing, or commercial use of our educational materials may result in one or more of the following actions:

• immediate suspension or termination of account access;
• removal of access to future updates;
• issuance of copyright infringement notices or Digital Millennium Copyright Act (DMCA) takedown requests;
• pursuit of available civil remedies, including claims for damages where permitted by law; and
• any other remedies available under applicable intellectual property laws.

Holiday Lights University reserves all rights not expressly granted under these Terms.

23. Student Marketing License

Holiday Lights University may provide Students with access to sample photographs, videos, marketing graphics, advertisements, social media posts, or other promotional materials ("Marketing Assets").

Unless otherwise stated, Holiday Lights University grants Students a limited, non-exclusive, revocable license to use these Marketing Assets solely to promote the Student's own holiday lighting business.

Students may:

• use Marketing Assets in advertisements for their own business;
• post Marketing Assets on their own website or social media accounts;
• edit or resize Marketing Assets to fit their branding; and
• include Marketing Assets in marketing materials for their own services.

Students may not:

• claim ownership of the Marketing Assets;
• sell, sublicense, or redistribute the Marketing Assets;
• include the Marketing Assets within another educational product, template library, or marketing package;
• use the Marketing Assets in a manner that falsely implies an endorsement, partnership, or affiliation with Holiday Lights University; or
• use the Marketing Assets for any business other than promoting their own holiday lighting installation services.

Holiday Lights University retains all ownership and intellectual property rights in the original Marketing Assets.

24. Third-Party Services

Holiday Lights University uses third-party platforms and service providers to deliver portions of our Services, including but not limited to:

• Kajabi
• Stripe
• Apple Pay
• Google Pay
• Klarna
• Afterpay
• Google Analytics
• Meta Pixel
• Microsoft Clarity
• Vimeo
• YouTube
• Email service providers
• Customer support platforms

Your use of these third-party services may also be governed by their own terms, conditions, and privacy policies.

Holiday Lights University is not responsible for the availability, functionality, security, or practices of any third-party service.

25. Testimonials & Student Results

From time to time, Holiday Lights University may display testimonials, reviews, photographs, videos, interviews, or success stories from students.

These testimonials reflect the experiences of individual students and should not be interpreted as typical or guaranteed results.

Results vary based on numerous factors including effort, experience, location, market conditions, pricing, customer service, and execution.

Nothing on our website or within our training constitutes a guarantee of future success.

26. Monitoring & Fraud Prevention

Holiday Lights University reserves the right to monitor account activity to protect our intellectual property and maintain the integrity of our Services.

This may include monitoring:

• login activity;
• device information;
• IP addresses;
• viewing history;
• download activity; and
• account access patterns.

This information may be used to detect unauthorized account sharing, piracy, fraud, abuse, or violations of these Terms.

27. Suspension & Termination

Holiday Lights University may suspend or permanently terminate access to any account, with or without notice, if we reasonably determine that a Student has:

• violated these Terms;
• shared account credentials;
• distributed training materials;
• infringed our intellectual property rights;
• engaged in fraudulent or abusive conduct;
• attempted to circumvent platform security;
• initiated a fraudulent chargeback;
• harassed our employees, instructors, or other students.

Termination does not entitle the Student to a refund.

Upon termination, all licenses granted under these Terms immediately cease.

28. Disclaimer of Warranties

To the fullest extent permitted by law, Holiday Lights University provides its Services on an "AS IS" and "AS AVAILABLE" basis.

We make no representations or warranties regarding:

• uninterrupted access;
• error-free operation;
• availability of the platform;
• completeness of the educational materials;
• compatibility with every device;
• achievement of any business results.

All implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, are disclaimed to the fullest extent permitted by law.

29. Limitation of Liability

To the fullest extent permitted by applicable law, Holiday Lights University, its owners, employees, contractors, instructors, affiliates, licensors, and representatives shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to your use of the Services.

This includes, without limitation:

• lost profits;
• lost revenue;
• lost business opportunities;
• customer disputes;
• property damage;
• equipment damage;
• personal injuries;
• installation errors;
• electrical failures;
• roof damage;
• business interruptions;
• data loss; and
• any other damages arising from your participation in the training.

If Holiday Lights University is found liable despite the foregoing limitations, our total aggregate liability shall not exceed the amount you actually paid for the applicable training program during the twelve (12) months preceding the event giving rise to the claim.

30. Indemnification

You agree to defend, indemnify, and hold harmless Holiday Lights University LLC and its owners, officers, employees, contractors, affiliates, instructors, successors, and agents from and against any claims, damages, liabilities, losses, expenses, costs, or attorneys' fees arising from:

• your use of the Services;
• your operation of a holiday lighting business;
• your violation of these Terms;
• your violation of applicable laws;
• your negligence or misconduct;
• your infringement of another person's rights.

31. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Arizona, without regard to conflict-of-law principles.

32. Arbitration & Class Action Waiver

To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis.

You waive any right to participate in:

• class actions;
• class arbitrations;
• representative actions; or
• consolidated proceedings.

Nothing in this section prevents either party from seeking injunctive relief to protect intellectual property rights.

33. Changes to These Terms

Holiday Lights University may revise these Terms from time to time.

Updated versions will become effective upon posting on our website unless otherwise stated.

Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

34. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

35. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Disclaimer, Earnings Disclaimer, and any policies expressly incorporated by reference, constitute the entire agreement between you and Holiday Lights University regarding the Services.
